Instructor Terms

As an instructor on Welldux, you are responsible for all content you create, upload, publish, and share through the platform, including courses, videos, presentations, quizzes, assignments, assessments, downloadable resources, announcements, live sessions, and other educational materials ("Instructor Content").

By using Welldux as an instructor, you represent and warrant that:

• You will provide accurate, complete, and up-to-date account and profile information.
• You own or have obtained all necessary rights, licenses, permissions, and approvals to publish your Instructor Content.
• Your content does not infringe the intellectual property, privacy, or other legal rights of any third party.
• You possess the appropriate knowledge, qualifications, skills, or experience necessary to teach the subjects you offer.
• You will provide high-quality educational content that is accurate, professional, and suitable for learners.
• You will comply with all applicable laws, these Instructor Terms, the Terms of Use, and other Welldux policies.

As an instructor, you agree not to:

• Publish false, misleading, offensive, defamatory, discriminatory, illegal, or inappropriate content.
• Upload copyrighted material without proper authorization.
• Share spam, unsolicited advertisements, or promotional content unrelated to your educational services.
• Impersonate another individual or organization or access another user's account without permission.
• Upload viruses, malware, or other harmful software that may disrupt the platform.
• Interfere with the learning experience or the activities of other instructors or learners.
• Misuse Welldux resources, systems, or support services.
• Use the platform for unlawful, fraudulent, or unauthorized commercial activities.

Welldux reserves the right to review, suspend, remove, or restrict any Instructor Content or instructor account that violates these Terms or applicable laws.

You retain ownership of the Instructor Content that you create and publish on Welldux. However, by uploading or publishing content on the platform, you grant Welldux a worldwide, non-exclusive, royalty-free, transferable license to host, store, reproduce, display, distribute, transmit, promote, and make your content available to learners through the Services.

This license allows Welldux to:

• Deliver your courses and educational content to enrolled learners.
• Display, market, and promote your courses through the Welldux platform and official marketing channels.
• Make technical modifications to your content where necessary for formatting, accessibility, compatibility, or platform performance.
• Use your course title, instructor name, profile information, course thumbnails, and promotional materials to advertise and promote Welldux and your courses.
• Analyze course performance and platform usage to improve the Services and user experience.

You may remove your courses or content from Welldux at any time, subject to any obligations owed to learners who have already enrolled or purchased access. Learners who were granted access before the removal may continue to access the content in accordance with their enrollment terms unless removal is required for legal, security, or policy reasons.

Welldux may use automated technologies, including Artificial Intelligence (AI), to improve platform functionality, content recommendations, accessibility features, search capabilities, and learning experiences. Unless otherwise stated, your content will not be used to train third-party AI models without your consent.

By publishing content on Welldux, you also grant permission to use your name, profile image, biography, and publicly available instructor information solely for identifying you as the instructor and promoting your courses and the Welldux platform.

Welldux is committed to maintaining a safe, respectful, and professional learning environment for all learners, instructors, and organizations. As an instructor, you are expected to uphold high standards of integrity, professionalism, and ethical conduct while using the platform.

As an instructor, you agree to:

• Create and publish original, accurate, and high-quality educational content.
• Treat learners and other users with respect and professionalism.
• Provide clear, truthful, and up-to-date course information.
• Respond to learner questions and feedback in a respectful and timely manner where applicable.
• Respect the privacy, intellectual property, and rights of all users.
• Comply with all applicable laws, these Instructor Terms, the Terms of Use, and other Welldux policies.

You must not:

• Publish illegal, misleading, harmful, hateful, discriminatory, defamatory, or offensive content.
• Infringe the copyrights, trademarks, or other intellectual property rights of others.
• Upload malware, viruses, or malicious code that may compromise the security of the platform.
• Engage in harassment, bullying, threats, abuse, or inappropriate communication with learners or other users.
• Manipulate course ratings, reviews, enrollments, or platform metrics through fraudulent or deceptive practices.
• Collect or misuse learners' personal information without their consent.
• Use Welldux to promote unauthorized products, services, or unrelated commercial activities.

Welldux reserves the right to investigate reports of misconduct and may remove content, suspend course access, or terminate instructor accounts that violate these Terms or compromise the safety, security, or integrity of the platform. Where appropriate, Welldux may also cooperate with law enforcement or regulatory authorities as required by applicable law.

4.1 Instructor Opportunities

Welldux provides instructors with various opportunities to publish and monetize their educational content through the platform. Depending on the services offered by Welldux, instructors may participate in promotional campaigns, featured course listings, subscription plans, institutional partnerships, referral programs, and other marketing initiatives designed to increase course visibility and learner enrollments.

Participation in these programs is subject to Welldux policies and may be modified, suspended, or discontinued at any time. Instructors may choose whether to participate in eligible promotional opportunities where applicable.

4.2 Course Pricing

When publishing a paid course on Welldux, instructors may be allowed to set a base price for their course, subject to the pricing guidelines and minimum or maximum limits established by Welldux. Instructors may also choose to offer eligible courses free of charge.

If an instructor participates in Welldux promotional campaigns, discounts, bundles, subscription plans, or special offers, Welldux may display or sell the course at a promotional price while calculating instructor earnings according to the applicable revenue-sharing policy.

Welldux reserves the right to adjust displayed prices, apply regional pricing, currency conversions, promotional discounts, or subscription pricing where appropriate to improve accessibility and support business operations.

Welldux may also provide complimentary access to courses for platform administrators, quality assurance, customer support, promotional activities, educational partnerships, or to restore access for learners who have previously purchased a course. Such complimentary access does not entitle the instructor to additional compensation unless otherwise agreed.

4.3 Taxes

Where required by applicable laws, Welldux may collect, withhold, or remit applicable taxes, including sales tax, value-added tax (VAT), withholding tax, or other government-imposed charges related to course purchases or instructor payouts.

Instructors are solely responsible for reporting and paying any personal income taxes or other tax obligations arising from the earnings they receive through Welldux, unless Welldux is legally required to withhold or remit such taxes on their behalf.

5.1 Revenue Sharing

Welldux offers flexible revenue-sharing models based on the level of services provided to instructors.

Unless otherwise agreed in writing, the default revenue-sharing model is:

• Welldux: 10% of the net revenue.
• Instructor: 90% of the net revenue.

Model applies when the instructor is responsible for creating and managing the course content, while Welldux provides the platform infrastructure, course hosting, payment processing, and standard platform support.

If an instructor chooses to use additional Welldux services—such as marketing campaigns, learner acquisition, promotional activities, video production, course optimization, or other business support services—a different revenue-sharing percentage may apply. Depending on the services provided by Welldux, the revenue share may be adjusted (for example, 80%/20%, 70%/30%, or another mutually agreed percentage). Any revised revenue-sharing arrangement will be agreed upon in writing by both Welldux and the instructor before the course is published or offered for sale.

5.2 Instructor Payouts

Instructor earnings will be calculated according to the applicable revenue-sharing model after deducting:

• Approved refunds and chargebacks.
• Payment processing fees.
• Applicable taxes or government deductions, where required by law.

Payouts will be made according to Welldux's payment schedule using the payment method provided by the instructor.

5.3 Payment Information

To receive payouts, instructors must provide accurate payment and banking information. Welldux is not responsible for delayed or failed payments resulting from incorrect payment details or issues with third-party payment providers.

5.4 Refunds and Payment Adjustments

If a learner receives a refund, chargeback, or payment reversal, the corresponding amount may be deducted from the instructor's current or future earnings where applicable.

Welldux reserves the right to withhold or adjust payments in cases involving fraud, policy violations, legal obligations, or ongoing investigations.

5.5 Taxes

Instructors are solely responsible for reporting and paying any taxes applicable to the income they receive through Welldux, unless Welldux is required by applicable law to withhold or remit such taxes on their behalf.

Welldux may allow instructors to offer coaching, mentoring, tutoring, workshops, webinars, consultations, or other one-on-one or group learning sessions ("Coaching Services") through the platform.

6.1 Instructor Responsibilities

Instructors providing Coaching Services agree to:

• Deliver coaching sessions professionally, ethically, and in accordance with the scheduled time.
• Provide accurate descriptions of the coaching services offered.
• Maintain respectful and professional communication with learners.
• Comply with all applicable Welldux policies and relevant laws.
• Respect the privacy and confidentiality of learners.

6.2 Session Management

Instructors are responsible for managing their coaching availability, schedules, and session content. If a coaching session must be rescheduled or canceled, instructors should notify affected learners as soon as reasonably possible.

Welldux may provide scheduling, communication, and payment tools to support Coaching Services but does not guarantee the availability of any specific feature.

6.3 Payments for Coaching Services

Compensation for Coaching Services will be determined according to the applicable revenue-sharing model or any separate written agreement between Welldux and the instructor. Welldux reserves the right to process payments, refunds, and adjustments in accordance with its payment policies.

6.4 Professional Conduct

Instructors must conduct Coaching Services in a respectful, safe, and professional manner. Harassment, discrimination, abusive behavior, inappropriate content, or any unlawful activity is strictly prohibited.

6.5 Welldux Rights

Welldux reserves the right to monitor, suspend, restrict, or remove Coaching Services that violate these Instructor Terms, the Terms of Use, applicable laws, or any other Welldux policies. Welldux may also suspend or terminate an instructor's ability to offer Coaching Services where necessary to protect learners or maintain the integrity of the platform.

As a published instructor on Welldux, you may promote your courses using Welldux branding only as permitted by these Instructor Terms and any Promotion Policy issued by Welldux.

7.1 Use of Welldux Trademarks

You may:

• Use only the official Welldux logos, trademarks, and branding materials provided or approved by Welldux.
• Use Welldux trademarks solely to promote your published courses or your instructor profile on the Welldux platform.
• Follow all branding, marketing, and promotional guidelines issued by Welldux.
• Immediately stop using any Welldux trademark or promotional material if requested by Welldux.

You may not:

• Use Welldux trademarks in any misleading, false, defamatory, or unlawful manner.
• Suggest or imply that Welldux endorses, certifies, sponsors, or guarantees you or your courses unless expressly authorized in writing.
• Modify, alter, or misuse Welldux logos, trademarks, or other brand assets.
• Use Welldux branding in connection with illegal, offensive, or inappropriate content.

7.2 Promotion Policy

Welldux may promote instructor courses through advertisements, social media, email campaigns, search engines, affiliate programs, partnerships, featured listings, or other marketing channels.

By publishing a course on Welldux, you authorize Welldux to use your course title, thumbnail, instructor name, profile image, course description, and other promotional materials for marketing and promotional purposes.

Participation in promotional campaigns may affect course pricing and revenue sharing in accordance with the applicable pricing and payment policies.

You may request the deletion of your instructor account at any time by contacting the Welldux Support Team or through your account settings, where available.

Before your account is permanently deleted:

• Any outstanding eligible instructor payments will be processed according to the applicable payment schedule.
• Courses with enrolled learners may remain accessible to those learners for the duration of their access rights, unless removed for legal or policy reasons.
• Certain records may be retained where required by law, financial regulations, fraud prevention, or legitimate business purposes.

Deleting your instructor account does not automatically remove all course records, learner enrollments, or transaction history where retention is required.

9.1 Updates to These Terms

Welldux may update these Instructor Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Any material changes will be communicated through the platform or by email where appropriate.

Your continued use of Welldux after the updated Terms become effective constitutes your acceptance of the revised Terms.

9.2 Language

These Instructor Terms may be translated into other languages for convenience. In the event of any inconsistency, the English version shall prevail.

9.3 Relationship with Welldux

Nothing in these Instructor Terms creates a partnership, employment, agency, franchise, or joint venture relationship between you and Welldux. Instructors operate independently and are solely responsible for the content and services they provide through the platform.

9.4 Survival

Any provisions relating to intellectual property, content licensing, payments, refunds, account obligations, dispute resolution, confidentiality, limitation of liability, and other provisions that by their nature should survive termination shall remain in effect after your instructor account or these Terms have ended.
